Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of
the website and services provided by Luna Webb ("we",
"us", or "our"). By accessing our website or engaging our website
development, SEO, or digital services (the "Services"), you agree to be
bound by these Terms.
1. Services & Results
We provide website development, SEO, and digital strategy services as
outlined in your specific proposal or Statement of Work (SOW). While we
use industry-standard best practices,
we do not guarantee specific results, such as exact
search engine rankings, specific traffic volumes, or guaranteed revenue
increases, as these are subject to third-party algorithms and market
conditions.
2. Client Responsibilities
To ensure project success, you agree to:
- Provide necessary content, logos, and data in a timely manner.

Ensure all materials provided are owned by you or properly licensed.

Review and approve milestones within the agreed-upon timeframes.
Note: Delays in client feedback or materials may result in adjusted
timelines and additional costs.
3. Fees, Payment & Disputes
Accepted Payment Methods
We currently accept payment via Cash or
Interac e-Transfer only. No other payment methods
(including credit cards or cheques) are accepted unless formally agreed
upon in writing.
General Payment Terms

Invoices: Due within 7 days of receipt unless
otherwise specified.

Recurring Services: (SEO, hosting, maintenance) are
billed in advance. Late payments may result in immediate suspension of
Services.

Refunds: All fees are non-refundable once work has
commenced.

Taxes: You are responsible for all applicable sales
taxes (HST/GST) as required by Ontario law.
Disputes & Chargebacks
You agree to provide written notice and a 30-day window for resolution
before initiating any payment disputes. Unjustified disputes will be
considered a breach of contract and may result in the immediate
termination of all digital assets and services.
4. Intellectual Property

Client Materials: You retain full ownership of all
content and assets you provide to us.

Final Work Product: Upon
full payment of all outstanding fees, ownership of
the final website/deliverables is transferred to you.

Luna Webb Property: We retain ownership of our
pre-existing code, frameworks, tools, and methodologies used to build
your project.
5. Hosting & Maintenance
If Luna Webb manages your hosting or maintenance:

We utilize third-party infrastructure and are not liable for outages,
data loss, or cyber threats caused by third-party providers.

Maintenance covers software updates and security patches, but does not
include new design features or content changes unless specified.

Termination: Upon cancellation, you are responsible
for migrating your data. We will provide reasonable access to
facilitate this migration.
6. Limitation of Liability
To the maximum extent permitted by law, Luna Webb shall not be liable
for any indirect, incidental, or consequential damages. Our total
liability is strictly limited to the total fees paid by you for the
specific Service giving rise to the claim.
7. Termination & Cancellation

Monthly Retainers (SEO): May be cancelled by either
party with 30 days’ written notice. Fees for the
notice period remain payable.

General Projects: Either party may terminate with
written notice. You remain responsible for payment for all work
completed up to the termination date.
8. Governing Law
These Terms are governed by the laws of the
Province of Ontario and the federal laws of Canada. Any
disputes shall be resolved within the jurisdiction of Ontario.
